Terms of Service

1. Acceptance of Terms

By creating an account or using Predite (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Predite is an AI-powered prediction market intelligence platform that provides:

Market data aggregation from third-party prediction market platforms (e.g., Polymarket, Kalshi)
AI-generated probability estimates and edge signals
Paper trading simulation
Visual bot configuration tools
Cross-platform analytics and arbitrage detection
Optional live order execution on Polymarket via the Bot plan (see Section 7)

Predite is an informational and execution-tooling platform. We do not act as a broker-dealer, money transmitter, investment advisor, or financial planner. We do not custody user funds.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Service. One person may not maintain more than one account. You represent that you are not located in a jurisdiction where the use of prediction markets is prohibited.

4. Subscription and Payment

Predite offers three subscription plans: Starter ($29/month), Pro ($59/month), and Bot ($99/month). All prices are in USD. Payment is required immediately upon subscription — there is no free trial period. Subscriptions renew automatically each month. You may cancel at any time from your dashboard; access continues until the end of the current billing period. Refunds are not provided for partial months. Plan changes (upgrades/downgrades) are prorated.

5. Acceptable Use

You agree not to use the Service to violate any applicable laws or regulations, attempt to gain unauthorized access to our systems, interfere with other users' access to the Service, reverse-engineer, decompile, or disassemble any part of the Service, use automated systems to access the Service beyond your plan's API rate limits, resell, redistribute, or sublicense access to the Service, or use the Service to manipulate prediction markets.

6. Platform Connections (Read-Only)

For read-only features (portfolio tracking, position display), you may connect your public wallet address. We access only publicly visible blockchain data. We never request private keys for read-only features.

7. Live Trading Service (Bot Plan)

This Section 7 applies only if you opt-in to Live Trading. Live Trading is currently in beta and available exclusively to Bot plan subscribers who have been explicitly approved by Predite.

7.1 What Live Trading Is

Live Trading is an optional feature that allows your configured bots to submit real orders to Polymarket on your behalf, using cryptographic credentials you provide to us. To enable Live Trading, you must:

Hold an active Bot plan subscription
Provide Predite with the private key controlling your Polymarket trading wallet
Acknowledge the risks set forth in this Section 7 via an in-app confirmation
Be granted beta access by Predite (granted at our discretion)
Individually enable Live Trading on each bot (per-bot opt-in)

7.2 Custody of Funds

Predite does NOT hold or custody your funds at any time. All funds remain on the Polymarket platform, in a wallet controlled by the private key you provide. Predite uses that private key solely to cryptographically sign orders on your behalf. You retain sole legal ownership of all funds in your connected wallet at all times.

7.3 How We Protect Your Private Key

Private keys provided to Predite are:

Transmitted to Predite servers exclusively over TLS 1.3 encrypted connections
Encrypted at rest using AES-256-GCM with a unique initialization vector per record
Stored in a database with row-level security and access control
Decrypted in server memory only for the duration required to sign an individual order, then discarded
Never logged, never displayed, never transmitted to any third party

However, no security system is invulnerable. By enabling Live Trading, you accept the inherent risks of online private key storage. We strongly recommend you use a dedicated wallet funded only with capital you can afford to lose.

7.4 Order Execution and Best-Effort Basis

All orders are submitted to Polymarket on a best-effort basis. Predite does not guarantee:

That any order will be accepted, matched, or filled at any particular price
The speed of order submission or matching
The availability of any market or the continued operation of Polymarket
Network gas costs (Polygon transaction fees) or their predictability
Successful execution during periods of network congestion or platform outage

7.5 Bot Behavior and User Responsibility

You are solely responsible for:

The configuration of each bot, including strategy parameters, position sizing, and stop-loss / take-profit settings
Reviewing bot logs and trade executions periodically
Maintaining sufficient capital in your connected wallet
Maintaining sufficient gas (POL tokens) to cover Polygon transaction fees, unless you are using a gasless integration where Predite explicitly facilitates this
All gains and all losses resulting from your bots' activity

Predite's software is provided on an “as is” basis. Bugs, defects, or unintended bot behavior may cause unintended trades. You acknowledge this risk and waive any claim against Predite for losses arising from such occurrences, except as expressly required by applicable law.

7.6 Position Size and Loss Limits

Predite enforces certain default safety limits, including per-trade maximums and daily loss limits configurable on each bot. These limits are provided as risk-management tools and not as guarantees. You may adjust limits within ranges permitted by the platform. Predite reserves the right to reduce limits, suspend live trading on any account, or terminate beta access without notice for any reason, including suspicion of unusual activity, regulatory concerns, or technical issues.

7.7 Cancellation and Disconnection

You may disconnect Polymarket from Predite at any time via the Settings → Trading page. Upon disconnection, all stored credentials for your account are deleted from our active database. Live trading on all your bots automatically reverts to paper mode. Existing open orders on Polymarket remain on Polymarket and must be managed directly through the Polymarket platform.

7.8 Tax and Reporting

You are solely responsible for all tax reporting, withholdings, and compliance obligations related to your trading activity. Predite does not generate tax documents. You should consult a qualified tax professional in your jurisdiction.

7.9 Jurisdiction and Eligibility for Live Trading

Live Trading is not available in every jurisdiction. By enabling it, you represent that prediction-market trading is legal in your jurisdiction of residence, that you are not subject to any sanctions list, and that you are not a Politically Exposed Person without prior disclosure. Predite reserves the right to verify your eligibility and to refuse or terminate service at any time without prior notice.

8. Risk Disclosure

Prediction markets involve substantial financial risk. Past performance does not guarantee future results. AI probability estimates are based on statistical models and public data, and may be inaccurate. You may lose some or all of your invested capital. The Service is not appropriate for retirement savings, emergency funds, or any capital you cannot afford to lose. See our Risk Disclaimer for additional detail.

9. Intellectual Property

Predite and its original content, features, and functionality are owned by Predite and are protected by international copyright, trademark, and other intellectual property laws. Your data (trading history, bot configurations, paper trading records) remains yours. We claim no ownership of user-generated content.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted or error-free. To the fullest extent permitted by law, we disclaim all warranties.

11. Limitation of Liability

To the maximum extent permitted by law, Predite, its directors, employees, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of trading opportunity, loss of revenue, loss of goodwill, or any losses resulting from bot misbehavior, software bugs, third-party platform outages, network failures, or unauthorized access to your account, arising from your use of the Service. Our aggregate total liability for any and all claims arising from or related to the Service shall not exceed the amount you paid to Predite in subscription fees during the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Predite from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including those of any prediction market platform; (d) any trade, order, or transaction executed by your bots or attributable to your account; or (e) your violation of any applicable law.

13. Termination

We may terminate or suspend your account immediately, without prior notice, if you violate these Terms, engage in activity we reasonably believe to be fraudulent or illegal, or for any reason at our discretion. Upon termination, your right to use the Service ceases immediately. Open live orders on Polymarket are unaffected and must be managed directly on that platform. We will retain audit and transactional data for the time required by law; other data is deleted within 90 days unless retention is required.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notice. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service before the effective date.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration on an individual basis (not class action), except where prohibited by applicable law. The arbitration shall be conducted in English. Each party shall bear its own costs except as otherwise required by law.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force.

17. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, GDPR Notice, and Risk Disclaimer, constitute the entire agreement between you and Predite.
